Item Transfer & Fulfillment Policy

This Item Transfer & Fulfillment Policy (“Policy”) governs the transfer of physical items offered through Chiply and applies to all Drop Creators, Contributors, and Item Receivers using the Chiply platform.

This Policy supplements Chiply's Terms of Service, Refund & Cancellation Policy, and other applicable platform policies.

1. Purpose

Chiply facilitates community-funded Drops involving physical items.

When a Drop successfully proceeds to recipient selection, the Drop Creator is responsible for transferring the listed item directly to the Item Receiver selected through Chiply's automated deterministic selection process.

Chiply does not take ownership or physical possession of items listed through the platform. The Drop Creator remains responsible for the item until transfer is successfully completed and verified.

Funds associated with a Drop are not eligible for release to the Drop Creator merely because a funding target has been reached, a reduced funded amount has been accepted, or an Item Receiver has been selected. Fulfillment must occur before payout.

2. Definitions

Drop means a listing created through Chiply that associates a physical item with a stated funding Goal and applicable transfer terms.

Drop Creator means the person or business that creates a Drop and agrees to transfer the listed item if the Drop proceeds successfully.

Goal means the funding amount established by the Drop Creator for a Drop.

Final Funded Amount means the amount of eligible funding associated with a Drop when its funding period closes.

Contributor means an eligible user who contributes funds to a Drop.

Item Receiver or Selected Recipient means the eligible Contributor identified by Chiply's automated deterministic selection process to receive the item associated with a Drop.

Verification PIN means the Chiply-issued code controlled by the Item Receiver and used to confirm successful physical transfer of the item.

Fulfillment means the successful transfer of the listed item from the Drop Creator to the Item Receiver in accordance with this Policy.

3. Drop Creator Transfer Commitment

By creating a Drop, the Drop Creator represents and agrees that:

  1. The Drop Creator owns, possesses, or otherwise has lawful authority to transfer the listed item.
  2. The item exists and is reasonably available for transfer.
  3. The item has been accurately described, including its material condition and any known significant defects.
  4. The Drop Creator is legally permitted to transfer the item.
  5. The Drop Creator will maintain possession or control of the item while the Drop remains active and until fulfillment is completed.
  6. If the Drop proceeds to recipient selection, the Drop Creator will make a good-faith effort to complete the transfer promptly and generally within seven (7) calendar days after an Item Receiver is selected, unless Chiply approves another timeframe or the Drop expressly provides for a different transfer schedule.

Creating a Drop constitutes a commitment to fulfill the Drop if the conditions for fulfillment are satisfied.

4. Full and Reduced Funding

A Drop may proceed to fulfillment after its stated Goal is reached or after the Drop Creator affirmatively accepts an eligible Final Funded Amount that is less than the original Goal.

If the Drop Creator accepts a reduced Final Funded Amount:

  • The acceptance is binding.
  • The automated recipient-selection process will proceed.
  • The Drop Creator remains obligated to transfer the listed item to the Item Receiver.
  • The Drop Creator waives any claim that fulfillment is excused solely because the original Goal was not reached.
  • The Drop Creator may not demand additional payment from the Item Receiver or Contributors as a condition of completing the transfer.

If the Drop Creator declines the reduced Final Funded Amount, the Drop will be cancelled in accordance with Chiply's Refund & Cancellation Policy and the recipient-selection process will not proceed.

5. Recipient Selection

After the applicable funding conditions have been satisfied, Chiply uses its predetermined automated deterministic process to rank eligible Contributors and identify an Item Receiver.

Contributors do not manually cast ballots, Chiply does not manually select the Item Receiver, and the Drop Creator does not choose the Item Receiver.

Once an Item Receiver is selected, Chiply may provide the Drop Creator and Item Receiver with the functionality necessary to coordinate fulfillment.

Selection alone does not constitute completed fulfillment and does not authorize release of the Drop Creator's proceeds.

6. Coordinating the Transfer

The Drop Creator and Item Receiver must cooperate in good faith to complete the transfer.

Depending on the Drop, fulfillment may occur through an approved method such as:

  • Local pickup.
  • Agreed local delivery.
  • Shipment where the Drop permits shipping.

The parties may exchange information reasonably necessary to coordinate the transfer, including scheduling information, pickup location, delivery information, shipping information, and other details reasonably necessary to complete fulfillment.

Users may not use the fulfillment process to harass another user, obtain unnecessary personal information, circumvent Chiply's verification process, or otherwise misuse information obtained through the platform.

7. Local Pickup or Delivery

For an in-person transfer, the Drop Creator must make the item reasonably available at the agreed date, time, and location.

Before providing the Verification PIN, the Item Receiver should be given a reasonable opportunity to confirm that:

  • The correct item is being transferred.
  • The item is materially consistent with the Drop description.
  • Any included components represented as part of the Drop are present.
  • There is no obvious material discrepancy that would reasonably prevent completion of the transfer.

The Item Receiver should not provide the Verification PIN before taking possession of the item and completing any reasonable inspection appropriate to the transaction.

8. Shipped Items

Where shipping is permitted for a Drop, the Drop Creator is responsible for properly preparing and shipping the item to the address provided for fulfillment.

The Drop Creator may be required to provide valid shipment tracking or other evidence demonstrating shipment.

For items of significant value, Chiply may require additional fulfillment safeguards, which may include tracked shipping, delivery confirmation, signature confirmation, insurance, or additional transfer documentation.

Shipment of an item does not by itself establish completed fulfillment.

Chiply may continue to restrict payout until the Item Receiver has received the item and the applicable fulfillment-verification requirements have been completed.

9. Verification PIN

The Verification PIN is a security and fulfillment-control mechanism issued to the Item Receiver. The Verification PIN belongs to and is controlled by the Item Receiver.

The Item Receiver should provide the Verification PIN only after the listed item has been physically transferred and the Item Receiver has had a reasonable opportunity to confirm the transfer.

The Drop Creator may enter or otherwise submit the Verification PIN through Chiply's approved verification process. Successful validation of the Verification PIN serves as evidence that the Item Receiver has confirmed physical receipt of the item.

The following actions are prohibited:

  • Requesting the Verification PIN before transfer.
  • Providing the Verification PIN solely because an item has been promised or shipped.
  • Falsifying a transfer.
  • Coercing an Item Receiver into providing a PIN.
  • Sharing or obtaining a PIN through deception.
  • Entering a PIN without an actual transfer.
  • Attempting to bypass Chiply's fulfillment-verification system.

Fraudulent use of a Verification PIN may result in cancellation of the transaction, withholding or recovery of funds, account restriction or termination, and any other action permitted under Chiply's policies or applicable law.

10. Completion of Fulfillment

A Drop is considered fulfilled when Chiply has sufficient confirmation that:

  1. The required item was transferred to the Item Receiver.
  2. The Item Receiver's Verification PIN or another Chiply-approved fulfillment verification method has been successfully completed.

After successful fulfillment verification, the Drop may be marked Completed, and the Drop Creator may become eligible for payout subject to payment-processor requirements, fraud review, payment settlement, reserves, disputes, legal requirements, and other applicable Chiply policies.

Chiply does not guarantee that payout will occur immediately upon PIN verification.

11. Item Receiver Refusal or Failure to Complete Transfer

The Item Receiver is expected to cooperate reasonably with the fulfillment process.

An Item Receiver may lose the right to receive the item if the Item Receiver:

  • Expressly refuses the item.
  • Cannot be contacted after reasonable attempts.
  • Repeatedly fails to cooperate with scheduling.
  • Fails to complete required fulfillment actions.
  • Becomes ineligible.
  • Violates Chiply policies in connection with the Drop.
  • Otherwise prevents fulfillment without reasonable justification.

When appropriate, Chiply may move the fulfillment opportunity to the next eligible Contributor in the deterministic ranking. A new selection process is not necessarily required. The same process may continue through subsequent eligible ranked Contributors when necessary.

12. Item Condition or Description Disputes

The Drop Creator must transfer the item materially represented in the Drop.

A material fulfillment problem may include circumstances where:

  • The item is materially different from the listed item.
  • A significant undisclosed defect exists.
  • Major represented components are missing.
  • The item has suffered material damage before transfer.
  • The Drop Creator does not have lawful authority to transfer the item.
  • The Drop Creator attempts to substitute a materially different item without authorization.

If the Item Receiver reasonably believes a material discrepancy exists before completing an in-person transfer, the Item Receiver should not provide the Verification PIN and should report the issue through Chiply's available support or dispute process.

Chiply may request photographs, communications, shipment records, listing information, ownership records, or other evidence reasonably necessary to investigate a fulfillment dispute.

13. Drop Creator Failure to Fulfill

A Drop Creator may not refuse fulfillment merely because:

  • The Drop Creator has changed their mind.
  • The Drop Creator believes the item is now worth more.
  • The Drop Creator is dissatisfied with the identity of the Item Receiver.
  • The Drop Creator is dissatisfied with the results of the deterministic selection process.
  • The Drop Creator previously accepted a Final Funded Amount below the original Goal.

If the Drop Creator refuses, fails, or is unable to transfer the item after becoming obligated to fulfill the Drop, Chiply may:

  • Cancel the Drop.
  • Withhold all proceeds from the Drop Creator.
  • Refund eligible Contributions associated with the Drop.
  • Restrict, suspend, or terminate the Drop Creator's account.
  • Preserve relevant records.
  • Cooperate with a payment processor, regulator, court, or law-enforcement request where legally required.
  • Take any additional action authorized under Chiply's Terms of Service.

The Drop Creator is not entitled to retain proceeds for an item that was not successfully transferred.

14. Refunds Following Creator Non-Fulfillment

If the Drop Creator ultimately fails, refuses, or is unable to transfer the item and fulfillment cannot be completed, eligible Contributors will receive refunds in accordance with Chiply's Refund & Cancellation Policy and applicable payment-processor requirements.

This applies even when an Item Receiver has already been selected. When a Drop is cancelled because of the Drop Creator's failure to fulfill, the Drop Creator receives no payout.

15. Rights of the Selected Item Receiver

Refunding Contributions or cancelling a failed Drop does not necessarily eliminate independent rights or claims that the selected Item Receiver may have directly against the Drop Creator.

Chiply does not waive, settle, or adjudicate private legal claims between a Drop Creator and Item Receiver merely by processing refunds or cancelling a Drop.

The Item Receiver remains free to pursue any remedies independently available under applicable law.

Chiply is not the seller or transferor of the listed item and is not a substitute for the Drop Creator with respect to obligations arising from ownership or transfer of the item.

16. Non-Selected Contributors

A Contributor who is not selected as the Item Receiver does not obtain ownership, title, possession, or a right to demand delivery of the item.

After a Drop successfully proceeds through its automated selection process, the fact that a Contributor was not selected does not constitute failed fulfillment.

The item-transfer obligation is owed with respect to the selected Item Receiver, subject to any permitted succession to the next-ranked eligible Contributor.

Refund rights for non-selected Contributors are governed by Chiply's Refund & Cancellation Policy and are not created merely because the Contributor did not receive the item.

17. Missed or Failed Handoffs

Users must make reasonable efforts to attend scheduled transfers and communicate promptly regarding unavoidable delays. A single missed appointment does not necessarily establish abandonment or non-fulfillment.

Chiply may review factors including:

  • Communications between the parties.
  • Reasonable attempts to reschedule.
  • The cause of the missed transfer.
  • Repeated nonresponse.
  • The amount of time elapsed.
  • Shipping or tracking records.
  • Evidence of attempted fulfillment.
  • Evidence of misconduct.

Chiply may establish a replacement transfer deadline, advance fulfillment to the next-ranked eligible Contributor, cancel the Drop, or take another action reasonably necessary to resolve the matter.

18. Evidence of Fulfillment

Chiply may maintain records relating to fulfillment, including:

  • Drop information.
  • Funding status.
  • Recipient rankings and selection results.
  • Communications facilitated through Chiply.
  • Scheduled transfer information.
  • Shipment and tracking information.
  • Verification PIN activity.
  • Transfer confirmations.
  • Photographs or documentation submitted in connection with a dispute.
  • Refund records.
  • Payout records.
  • Payment disputes or chargebacks.

These records may be used to administer the platform, investigate disputes, respond to payment processors, prevent fraud, enforce Chiply policies, and comply with legal obligations.

19. Payment Disputes and Chargebacks

A payment dispute or chargeback does not automatically determine whether an item was properly fulfilled or whether a refund is owed under Chiply's policies.

Chiply may provide available transaction, contribution, selection, fulfillment, Verification PIN, refund, and related records to its payment processors or financial partners when responding to a dispute.

Chiply may delay or restrict payouts, transfers, withdrawals, or account activity while a payment dispute, fraud review, fulfillment investigation, or related matter remains unresolved.

20. Fraud, Manipulation, and Circumvention

Users may not manipulate or falsify the fulfillment process. Prohibited conduct includes:

  • Falsely claiming an item was delivered.
  • Falsely claiming an item was not delivered.
  • Fabricating shipment records.
  • Entering or obtaining a Verification PIN without a legitimate transfer.
  • Coordinating a false transfer.
  • Attempting to move the transaction outside Chiply to bypass fulfillment controls.
  • Intentionally providing false evidence during a dispute.
  • Otherwise attempting to obtain funds, an item, or a refund through deception.

Chiply may suspend fulfillment, freeze or withhold funds where permitted, cancel transactions, recover improperly released funds where legally available, restrict accounts, or take other appropriate action when fraud or abuse is suspected.

21. Legal and Regulatory Transfer Requirements

Certain physical items may require additional documentation, registration, title transfer, taxes, licensing, age verification, government filings, or other legal procedures.

The Drop Creator is responsible for identifying and complying with requirements applicable to the transfer of the listed item. The Item Receiver is responsible for cooperating with lawful requirements applicable to receiving or registering the item.

For titled or registered property, fulfillment is not considered properly completed merely because physical possession changes hands if applicable law requires additional documentation to legally complete the transfer.

Chiply may require evidence of completed title, ownership, registration, or similar documentation before treating fulfillment as complete or allowing payout.

22. Chiply's Role

Chiply provides technology that facilitates Drops, Contributions, automated deterministic recipient selection, communication, transfer verification, refund administration, and payment-related functionality.

Unless expressly stated otherwise, Chiply:

  • Does not own the listed item.
  • Does not take physical custody of the listed item.
  • Does not manufacture the item.
  • Does not independently guarantee the condition of the item.
  • Does not manually select the Item Receiver.
  • Is not the party physically transferring the item.

The Drop Creator remains responsible for the legality, accuracy, ownership, condition, and transfer of the listed item.

23. Relationship to Other Chiply Policies

This Policy should be interpreted together with Chiply's:

  • Terms of Service.
  • Refund & Cancellation Policy.
  • Privacy Policy.
  • Drop rules and contribution terms.
  • Any additional policies applicable to a particular transaction.

If a fulfillment issue results in cancellation or a refund, the Refund & Cancellation Policy governs the processing and eligibility of the refund.

24. Policy Enforcement

Failure to comply with this Policy may result in actions including:

  • Warnings.
  • Cancellation of a Drop.
  • Withholding of payout.
  • Refunding Contributors.
  • Removal of listings.
  • Restrictions on creating future Drops.
  • Temporary account suspension.
  • Permanent account termination.
  • Other actions permitted by Chiply's Terms of Service or applicable law.

Chiply reserves the right to review fulfillment activity and take reasonable measures to protect users, the platform, and Chiply's payment and financial partners.
