This Seller & Goal Creator Policy (“Policy”) establishes the requirements and responsibilities applicable to users who create Drops and offer items for transfer through Chiply.

For purposes of this Policy, a user who creates a Drop is referred to as a “Goal Creator.”

This Policy supplements Chiply's Terms of Service, Community Guidelines, Item Transfer / Fulfillment Policy, Refund & Cancellation Policy, Fund Handling & Release Policy, and other applicable Chiply policies.

By creating a Drop, a Goal Creator agrees to comply with this Policy.

1. Goal Creator Eligibility

To create a Drop, a Goal Creator must:

Maintain a valid Chiply account.
Be at least eighteen (18) years old.
Provide accurate account and identity information.
Successfully complete any identity or account verification required by Chiply or its payment partners.
Have legal authority to possess and transfer the listed item.
Comply with applicable federal, state, and local laws.
Comply with Chiply's Terms of Service and other Platform policies.

Chiply may impose additional eligibility requirements for certain items, transaction values, categories, jurisdictions, or account types.

2. Ownership and Authority to Transfer

Before creating a Drop, the Goal Creator must have lawful authority to transfer the item identified in the Drop.

Unless expressly approved otherwise by Chiply, the Goal Creator must:

Own the listed item.
Have lawful possession or control of the listed item.
Have authority to transfer ownership of the item.
Have access to any title, registration, certificate, serial-number documentation, or other ownership documentation required to complete the transfer.
Be legally capable of satisfying or resolving any lien, security interest, financing obligation, or ownership restriction before or as part of the transfer.

Goal Creators may not list items that they do not own, do not lawfully possess or control, are not authorized to transfer, know are stolen or counterfeit, are prohibited from transferring under applicable law, or cannot provide to the selected Recipient if the Drop is successfully completed.

Listing an item on behalf of another person or entity may be prohibited unless expressly authorized by Chiply and supported by appropriate documentation.

3. Accurate and Complete Listings

Goal Creators must provide truthful, complete, and materially accurate information concerning listed items.

A listing should accurately disclose relevant information including, where applicable:

Item type.
Make and model.
Age or year.
Condition.
Functionality.
Known defects.
Damage.
Significant wear.
Missing components.
Modifications.
Ownership or title status.
Material limitations affecting use or value.

For vehicles, additional information may include mileage, title status, known liens, significant known damage, material mechanical issues, and salvage, rebuilt, or similar title branding where applicable.

Goal Creators may not intentionally omit material information that would reasonably affect a contributor's understanding of the item.

Photographs, videos, descriptions, specifications, and representations must correspond to the actual item being offered.

4. Item Condition at Transfer

The item transferred to the selected Recipient must materially correspond to the item represented in the Drop.

Goal Creators may not:

Substitute a different item without authorization.
Substitute an item of materially lower quality or condition.
Remove included accessories or components after creating the Drop unless disclosed and permitted.
Intentionally damage or materially alter the item before transfer.
Conceal material deterioration occurring during the Drop lifecycle.

Normal changes in condition that occur despite reasonable care should be disclosed to Chiply and the selected Recipient before transfer.

5. Item Availability During an Active Drop

A Goal Creator must keep the listed item available while the applicable Drop remains active.

During an active Drop, Goal Creators may not:

Sell the item to another party.
Give the item away.
Trade the item.
Dispose of the item.
Create conflicting ownership rights in the item.
List the same item through another transaction where doing so could prevent fulfillment of the Chiply Drop.
Intentionally place the item beyond their ability to transfer it.

If circumstances outside the Goal Creator's reasonable control make the item unavailable, the Goal Creator must notify Chiply promptly.

Chiply may suspend or cancel the Drop while the matter is reviewed.

6. Setting a Goal

The Goal Creator is responsible for determining the requested Goal amount, subject to limits and requirements imposed by Chiply or its payment partners.

The Goal Creator is responsible for considering:

The value of the item.
Any applicable Chiply service fee.
Taxes or other obligations for which the Goal Creator is responsible.
Costs associated with transferring the item.
Any lien payoff or ownership-transfer costs.
Any other expenses that may affect the amount the Goal Creator ultimately receives.

Chiply does not guarantee that a Drop will reach its Goal amount.

7. No Artificial Goal Manipulation

Goal Creators may not attempt to artificially manipulate the progress, appearance, or outcome of a Drop.

Prohibited conduct includes:

Creating or controlling fake contributor accounts.
Making fraudulent contributions.
Arranging sham contributions.
Using unauthorized payment methods.
Creating misleading activity intended to make a Drop appear more popular or more funded than it is.
Coordinating with others to manipulate REP IDs or recipient selection.
Circumventing contribution or account restrictions.

Chiply may cancel Drops or restrict accounts where manipulation is reasonably suspected.

8. Partial Funding Acceptance

If a Drop reaches the end of its applicable funding period without reaching the original Goal amount, Chiply may allow the Goal Creator to choose whether to accept the amount actually funded.

If the Goal Creator rejects the partially funded amount, the Drop will be handled in accordance with Chiply's Refund & Cancellation Policy and other applicable policies.

If the Goal Creator accepts the partially funded amount:

The accepted funded amount replaces the original Goal amount for purposes of completing that Drop.
The Goal Creator voluntarily agrees to proceed for the accepted funded amount.
The Goal Creator waives any claim that the accepted amount is insufficient to require performance.
Recipient selection proceeds according to Chiply's applicable automated selection process.
The Goal Creator remains obligated to transfer the listed item to the properly selected Recipient.
The Goal Creator may not subsequently demand additional money from contributors or the Recipient as a condition of completing the transfer.

Accepting partial funding is binding once the acceptance becomes final under Platform rules.

9. Successful Drops

Once a Drop becomes successfully funded or a Goal Creator validly accepts partial funding, the Goal Creator may not cancel the Drop merely because:

The Goal Creator changes their mind.
The item increases in value.
Another buyer offers more money.
The Goal Creator decides the accepted amount is no longer satisfactory.
The Goal Creator prefers another Recipient.
The selected Recipient contributed less than another participant.
The Goal Creator disagrees with the automated selection result.

The Goal Creator's obligation is to complete the transfer according to the applicable Drop terms and Chiply policies.

10. Automated Recipient Selection

Goal Creators acknowledge that Chiply uses an automated deterministic process in connection with Recipient selection.

Goal Creators do not choose the Recipient.

Goal Creators may not:

Demand selection of another person.
Attempt to exclude the properly selected Recipient for an improper reason.
Manipulate account, contribution, or REP ID information.
Attempt to interfere with the selection calculation.
Offer payments or other incentives intended to alter the result.
Condition fulfillment on selecting a preferred participant.

The Goal Creator agrees to honor a Recipient properly selected through Chiply's applicable Platform process.

11. Communication With the Selected Recipient

Following Recipient selection, the Goal Creator must make reasonable efforts to cooperate with the selected Recipient in arranging the transfer.

Goal Creators must:

Respond within a reasonable period.
Provide accurate transfer information.
Coordinate a reasonable transfer time and location where applicable.
Communicate respectfully.
Follow Chiply's transfer procedures.
Notify Chiply promptly if a legitimate transfer issue arises.

Goal Creators may not harass, threaten, intimidate, or retaliate against a Recipient.

12. Transfer Deadline

Unless otherwise stated by Chiply, the Goal Creator should complete the item transfer within seven (7) days following the point at which the transfer period begins.

Chiply may extend the transfer period where appropriate, including where:

The parties mutually require additional time.
Vehicle documentation must be completed.
Shipping or transportation creates reasonable delay.
Identity or ownership verification is pending.
A safety or fraud review is underway.
Extraordinary circumstances interfere with timely completion.

An extension does not waive the Goal Creator's obligation to complete the transfer.

13. Transfer Responsibilities

The Goal Creator is responsible for providing the actual item represented in the Drop.

Depending on the transaction, this may include:

Making the item physically available.
Coordinating pickup or delivery.
Providing required ownership documentation.
Signing transfer documents.
Providing keys, accessories, or included components.
Completing applicable title documentation.
Satisfying agreed transfer conditions.
Cooperating with identity verification.
Cooperating with Chiply's fulfillment verification procedures.

Chiply facilitates Platform processes but is not the owner, seller, consignor, carrier, or transfer agent for the listed item.

14. Transfer Verification PIN

Chiply may provide the selected Recipient with a unique Verification PIN or comparable verification method used to confirm completion of a transfer.

The Goal Creator may request the Verification PIN only after the required transfer has actually occurred.

The Goal Creator may not:

Demand the PIN before transferring the item.
Coerce the Recipient into providing the PIN early.
Falsely represent that a transfer has occurred.
Obtain the PIN through deception.
Use another Recipient's PIN.
Circumvent Chiply's verification process.
Submit fabricated transfer verification.

The Goal Creator must submit the valid Verification PIN through Chiply in accordance with Platform procedures.

Submission of a Verification PIN does not prevent Chiply from investigating suspected fraud, error, coercion, or misrepresentation.

15. Release of Funds

Funds associated with a Drop are not considered finally payable to the Goal Creator merely because contributions have been made or the Goal amount has been reached.

Funds may remain subject to:

Payment authorization.
Settlement.
Fraud review.
Chargeback risk.
Transfer completion.
Verification requirements.
Applicable reserve or hold requirements.
Chiply policies.
Payment-provider requirements.
Applicable law.

A Goal Creator has no right to demand release of funds before applicable release conditions have been satisfied.

Funds will be handled according to Chiply's Fund Handling & Release Policy.

16. Prohibition on Additional Payment Demands

A Goal Creator may not require a selected Recipient to pay additional money to obtain the listed item unless the charge was clearly disclosed, lawful, and expressly permitted under Chiply's rules.

In particular, the Goal Creator may not demand an additional purchase price because:

The Goal Creator believes the item is worth more.
The original Goal was not reached but partial funding was accepted.
The selected Recipient contributed a relatively small amount.
Market conditions changed.
Another person offered more money.

This restriction does not eliminate legitimate third-party obligations such as government registration fees, taxes, or similar charges that applicable law independently requires the Recipient to pay.

17. Vehicle Transactions

Goal Creators listing vehicles remain responsible for complying with all applicable vehicle-transfer requirements.

Depending on the jurisdiction and transaction, responsibilities may include:

Providing valid title documentation.
Disclosing applicable liens.
Properly executing title transfers.
Providing odometer disclosures.
Satisfying lien-release requirements.
Complying with registration requirements.
Complying with inspection requirements.
Providing required disclosures.
Paying legally assigned taxes or fees.
Following applicable federal and state laws.

Chiply does not assume the Goal Creator's legal obligations associated with vehicle ownership or title transfer.

Vehicle Drops are additionally subject to Chiply's Vehicle Transaction Policy.

18. Taxes and Reporting Obligations

Goal Creators are responsible for determining and satisfying their own tax, reporting, licensing, registration, and similar obligations associated with items transferred through Chiply.

Chiply may:

Collect tax information where legally required.
Issue applicable tax forms.
Withhold amounts where legally required.
Provide transaction information to governmental authorities where required by law.

Chiply does not provide tax advice.

19. Failure or Refusal to Complete a Transfer

A Goal Creator who refuses or fails to complete a required transfer may be in violation of this Policy and the Terms of Service.

Examples may include:

Refusing to transfer the item after successful funding.
Refusing to transfer after accepting partial funding.
Selling the item to another person.
Making the item intentionally unavailable.
Demanding additional payment not permitted by Chiply.
Refusing to cooperate with reasonable transfer arrangements.
Attempting to substitute a materially different item.
Providing fraudulent transfer information.
Abandoning the transaction.

Where the Goal Creator is responsible for the failure to complete the transaction, Chiply may cancel the transaction and initiate refunds to contributors in accordance with applicable Chiply policies.

The Goal Creator's failure to perform does not eliminate any rights or remedies that the selected Recipient or other affected party may have against the Goal Creator under applicable law.

Chiply does not guarantee recovery from a Goal Creator and does not assume the Goal Creator's independent legal obligations.

20. Recipient-Side Transfer Failure and Runner-Up Process

If the properly selected Recipient declines the item, becomes ineligible, fails to respond within the required timeframe, is disqualified, cannot complete required verification, or otherwise fails to complete the Recipient's required portion of the transfer, Chiply may advance to the next-ranked eligible Recipient under the applicable automated ranking and selection rules.

The Goal Creator must cooperate with that process and may not independently choose a replacement Recipient.

If additional ranked Recipients are available, Chiply may continue advancing through the eligible ranked order until a valid Recipient is identified or the applicable process is exhausted.

This runner-up process applies to Recipient-side failure. It does not apply where the Goal Creator is the party refusing or unable to transfer the item.

21. Cooperation With Investigations

Goal Creators agree to reasonably cooperate with Chiply investigations concerning:

Item ownership.
Identity verification.
Transfer completion.
Fraud.
Payment disputes.
Chargebacks.
Item condition.
Listing accuracy.
Title or lien status.
Account activity.
REP ID or selection manipulation.
Safety concerns.

Chiply may request reasonable supporting documentation including identification, proof of ownership, titles, registrations, purchase records, serial numbers, photographs, transfer documentation, lien releases, and communications relating to the transaction.

Failure to reasonably cooperate may result in transaction holds or account restrictions.

22. Off-Platform Circumvention

Goal Creators may not intentionally move a Chiply Drop outside the Platform for the purpose of avoiding:

Chiply fees.
Transfer verification.
Payment controls.
Refund protections.
Platform restrictions.
Fraud monitoring.
Applicable policies.

Goal Creators also may not ask contributors or selected Recipients to send unauthorized payments directly through cash, bank transfer, payment applications, cryptocurrency, or another method in order to circumvent Chiply.

23. Enforcement

If a Goal Creator violates this Policy or another applicable Chiply rule, Chiply may take action including:

Issuing warnings.
Removing or restricting listings.
Suspending active Drops.
Cancelling Drops.
Holding transactions where permitted.
Restricting Goal creation.
Restricting Platform functionality.
Suspending the account.
Permanently terminating the account.
Restricting future account creation.
Providing relevant information to payment partners.
Cooperating with law enforcement or regulatory authorities where appropriate.

The specific response may depend on the seriousness of the violation, history of misconduct, risk to contributors, payment risk, and other relevant circumstances.

24. Relationship to Other Chiply Policies

This Policy should be read together with Chiply's:

Terms of Service.
Community Guidelines & Acceptable Use Policy.
Refund & Cancellation Policy.
Fund Handling & Release Policy.
Item Transfer / Fulfillment Policy.
Vehicle Transaction Policy.
Privacy Policy.

If this Policy conflicts with the Terms of Service, the Terms of Service control unless expressly stated otherwise.

25. Goal Creator Responsibility

Creating a Drop is a commitment to make the represented item available if the applicable funding and selection conditions are satisfied.

Goal Creators are expected to act in good faith, accurately represent their items, honor completed Drops, cooperate with selected Recipients and any properly advanced runner-up Recipient, and follow Chiply's transfer and verification procedures.

A Goal Creator should not create a Drop unless they are prepared and legally able to transfer the listed item in accordance with Chiply's rules.
