Refund & Cancellation Policy

This Refund & Cancellation Policy explains when contributions made through Chiply may be canceled or refunded. By making a contribution, creating a Drop, or otherwise using Chiply, you agree to this Refund & Cancellation Policy in addition to Chiply's Terms of Service and other applicable policies.

1. Definitions

Drop: means a listing created on Chiply that includes an item and a stated funding Goal.

Drop Creator: means the person or business that creates a Drop and agrees to transfer the listed item if the Drop proceeds to completion.

Contributor: means a user who contributes funds toward a Drop.

Goal: means the target funding amount established by the Drop Creator.

Final Funded Amount: means the total amount successfully contributed to a Drop when its contribution period closes.

Item Receiver: means the Contributor identified through Chiply's automated deterministic selection process to receive the item associated with a completed Drop.

Verification Pin: means the confirmation mechanism used by the Item Receiver to verify that the required item transfer has been successfully completed.

2. Contributor Cancellations

Contributions are generally final once submitted.

A Contributor may not cancel or request a refund solely because the Contributor:

  • Changed their mind.
  • No longer wants to participate in the Drop.
  • Did not become the Item Receiver.
  • Disagrees with the result of Chiply's automated selection process.
  • Contributed more or less than another Contributor.
  • No longer wants the participation or governance benefits associated with the contribution.

Chiply may make exceptions where required by law or where Chiply determines that a payment was made because of a verified technical or payment-processing error.

3. When a Drop Reaches Its Goal

If a Drop reaches its stated Goal within the applicable contribution period, the Drop proceeds to Chiply's automated selection process.

The Drop Creator is then required to transfer the listed item to the Item Receiver in accordance with Chiply's Terms of Service.

Contributions are not refundable merely because a Contributor is not selected to receive the item.

4. When a Drop Does Not Reach Its Goal

A Drop that closes below its stated Goal does not automatically fail.

If the Final Funded Amount is less than the stated Goal, the Drop Creator may be given the option to accept the Final Funded Amount as full satisfaction of the funding requirement and continue the Drop.

If the Drop Creator Accepts the Final Funded Amount

If the Drop Creator accepts an amount below the original Goal:

  1. The Drop will continue.
  2. The Final Funded Amount will become the accepted funding amount for that Drop.
  3. Chiply's automated deterministic selection process will still occur.
  4. An Item Receiver will be identified.
  5. The Drop Creator must transfer the listed item to the Item Receiver.
  6. Contributions will remain final, subject to the other refund provisions in this Policy.

The Drop Creator's decision to accept less than the original Goal does not reduce or change the rights associated with contributions already made and does not require additional approval or voting by Contributors.

If the Drop Creator Declines the Final Funded Amount

If the Drop Creator does not accept the Final Funded Amount, the Drop will be treated as unsuccessful.

In that event:

  1. The Drop will close.
  2. No Item Receiver will receive the item through that Drop.
  3. The Drop Creator will not receive the Drop proceeds.
  4. All Contributors will receive a full refund of their contributions.

Chiply will not retain its platform or service fee from contributions refunded because the Drop Creator declined the Final Funded Amount.

5. Drop Cancellation

Chiply may cancel a Drop before completion when reasonably necessary, including because of:

  • Suspected fraud or unauthorized activity.
  • A violation of Chiply's Terms of Service.
  • An item becoming unavailable.
  • Legal or regulatory concerns.
  • Payment-processing or compliance requirements.
  • Inability to verify the Drop Creator or item.
  • Technical problems that materially affect the integrity of the Drop.
  • Another circumstance that prevents the Drop from being completed as represented.

If Chiply cancels a Drop before successful completion, all affected Contributors will receive a full refund of their contributions.

A Drop Creator generally may not cancel a Drop after agreeing to proceed with the applicable funded amount merely because the Drop Creator changes their mind about transferring the item.

Repeated or abusive Drop cancellations may result in restrictions, suspension, or termination of the Drop Creator's Chiply account.

6. Drop Creator Acceptance Is Binding

If a Drop closes below its original Goal and the Drop Creator elects to accept the Final Funded Amount, that acceptance is binding.

Once accepted, the Drop Creator agrees to proceed with the Drop under the same item-transfer obligations that would have applied if the original Goal had been reached.

The Drop Creator may not accept the reduced amount and later refuse to transfer the item merely because the original Goal was not reached.

7. Failure to Transfer the Item

After Chiply completes its automated selection process, the Drop Creator is required to complete the transfer of the listed item to the Item Receiver.

This requirement applies whether:

  • The original Goal was reached.
  • The Drop Creator accepted a Final Funded Amount below the original Goal.

The Item Receiver confirms successful transfer using the applicable Verification Pin or other transfer-confirmation procedure provided by Chiply.

If the Drop Creator fails, refuses, or is unable to complete the required transfer, and Chiply determines that the Drop cannot be successfully fulfilled:

  • The Drop will be treated as failed.
  • The Drop Creator will not be entitled to the Drop proceeds.
  • All Contributors will receive a full refund of their contributions.
  • Chiply may suspend or terminate the Drop Creator's account or take other appropriate action.

The Item Receiver may retain any independent legal rights or remedies available against the Drop Creator. Chiply does not waive or limit those rights.

8. Successfully Completed Drops

A Drop is considered successfully completed once:

  1. The applicable funding amount has been established, either by reaching the original Goal or by the Drop Creator accepting the Final Funded Amount.
  2. Chiply completes its automated deterministic selection process.
  3. The required item transfer occurs.
  4. The transfer is successfully verified.

Once a Drop is successfully completed, contributions are generally final and non-refundable.

A Contributor is not entitled to a refund merely because the Contributor:

  • Was not selected to receive the item.
  • Disagrees with the Drop Creator's decision to accept less than the original Goal.
  • Contributed more than another Contributor.
  • Contributed less than another Contributor.
  • Is dissatisfied with the outcome of the automated selection process.

9. Duplicate, Incorrect, or Unauthorized Charges

A user who believes they were:

  • Charged more than once for the same intended contribution.
  • Charged an incorrect amount.
  • Charged because of a technical error.
  • Charged without authorization.

Should contact Chiply as soon as reasonably possible.

Chiply will review the transaction and, when appropriate, issue a refund or correction.

Unauthorized transactions may also be subject to protections provided by the user's financial institution, card network, or payment provider.

10. Refund Method

Approved refunds will generally be returned to the original payment method used for the contribution.

When a full refund is required under this Policy, Chiply will refund the applicable contribution amount and will not retain Chiply's platform fee from the refunded transaction.

Chiply generally cannot redirect a refund to a different card, bank account, or individual.

After Chiply initiates a refund, the time required for the funds to appear in the Contributor's account is controlled by the applicable payment processor, card network, bank, or financial institution.

11. Payment Disputes and Chargebacks

Users are encouraged to contact Chiply regarding a payment concern before initiating a dispute or chargeback with their financial institution so Chiply has an opportunity to investigate and resolve the issue.

Chiply may provide relevant records when responding to a payment dispute, including:

  • Transaction records.
  • Contribution records.
  • Drop information.
  • The original Goal.
  • The Final Funded Amount.
  • The Drop Creator's acceptance of a reduced funded amount.
  • Automated selection records.
  • Transfer verification records.
  • Refund records.

Submitting a payment dispute or chargeback does not automatically establish that a Contributor is entitled to a refund under this Policy.

Fraudulent, abusive, or intentionally false payment disputes may result in restrictions or termination of the user's Chiply account.

Nothing in this section limits any rights a user may have under applicable law or applicable card-network rules.

12. Refunds Required by Law

Regardless of anything stated elsewhere in this Policy, Chiply will provide refunds when required by applicable law, regulation, court order, payment-network rule, or binding requirement imposed by Chiply's payment provider.

13. Platform Enforcement

Chiply reserves the right to pause payments, delay payouts, cancel a Drop, investigate activity, or issue refunds when reasonably necessary to:

  • Protect Contributors.
  • Investigate suspected fraud.
  • Enforce Chiply's Terms of Service.
  • Comply with legal obligations.
  • Comply with payment-processor requirements.
  • Protect the integrity of the Chiply platform.

14. Changes to This Policy

Chiply may update this Refund & Cancellation Policy from time to time.

Material changes will become effective when posted or on any later effective date identified in the updated Policy.

Changes will not retroactively alter the refund terms applicable to a transaction where doing so would violate applicable law.

Refund & Cancellation Summary

  • Goal reached: Drop proceeds.
  • Goal not reached + Drop Creator accepts the Final Funded Amount: Drop proceeds at the lower amount.
  • Goal not reached + Drop Creator declines the Final Funded Amount: All Contributors are refunded.
  • Drop Creator accepts the lower amount but fails to transfer the item: All Contributors are refunded.
  • Chiply cancels the Drop before completion: All Contributors are refunded.
  • Duplicate or verified payment error: Affected transaction is refunded or corrected.
  • Drop successfully completes and the item is transferred: Contributions are final.
  • Contributor changes their mind or is not selected: No refund.
